Acceptance of Terms
These Terms of Service explain the general conditions that apply when a client purchases or uses a service, product, subscription, license, workshop, training program, digital resource, installed system, AI-assisted workflow, website service, custom engagement, or other offering supplied by AXD Strategy.
AXD Strategy is based in Cabanatuan City, Philippines and may work with clients in the Philippines and other countries. Additional service-specific, product-specific, or country-specific conditions may be stated in a Service Acceptance, Service & Product Attachment, data-processing addendum, or another document expressly accepted by both parties.
These Terms govern use of the AXD Strategy website where applicable. A paid or continuing client engagement is formed only through the acceptance method stated in the applicable Service Acceptance, order, registration, checkout, or other transaction record. Merely browsing the website, requesting information, or submitting a Free Diagnostic does not by itself create a paid service engagement.
What AXD Provides
AXD Strategy provides strategy-led Branding, Social Media, Website, digital-system, training, and business-support offerings. AXD Offering means any service, product, subscription, license, workshop, training program, consultation, strategy engagement, branding service, social media service, website design or care service, hosting or maintenance service, digital resource, template, installed system, AI-assisted workflow, custom project, or other item that AXD Strategy expressly agrees to supply.
AXD's current offerings may include the following examples. The exact offering purchased by a Client is identified in the applicable Service Acceptance or transaction record.

The Free Diagnostic is a review process intended to help AXD understand a business page, current content, and possible growth gaps. It is not a guarantee of results and does not replace a full strategy engagement.

Client Responsibilities
The client will provide accurate information, lawful materials, required permissions, timely access, payment, approvals, and consolidated feedback. The client is responsible for approving factual business information, prices, claims, offers, and regulated statements before publication, launch, or use.
Scope & Revisions
AXD Strategy will perform accepted services with reasonable professional skill and care and supply products or deliverables materially consistent with the accepted specifications.
Scope, deliverables, exclusions, timelines, reviews, revisions, acceptance, support, maintenance, hosting, access, handover, and service levels are governed by the applicable Attachment. Material out-of-scope work requires written approval of the additional price and timetable.
Payments & Costs
The accepted billing currency and fixed total fee stated in the applicable Service Acceptance, order, registration, checkout, invoice, or other confirmed transaction record are authoritative. AXD Strategy may charge Philippine clients in Philippine pesos (PHP) and overseas clients in the client's local/native currency or another billing currency expressly accepted for the transaction.
For overseas clients, the accepted billing currency and fixed total fee remain the payable amount for the selected engagement, purchase, renewal, or prepaid service period, unless both parties expressly accept a written amendment or another accepted transaction record applies.
Payment may be remitted, transferred, or deposited to AXD Strategy's nominated Philippine bank account or another approved payment channel stated in the payment instructions, invoice, payment request, or direct billing instruction issued by AXD Strategy. Processing times, conversion handling, and settlement details may depend on the bank, card issuer, payment processor, remittance provider, or intermediary institution used.
AXD Strategy prices overseas offers with an allowance for ordinary exchange-rate movement and expected settlement differences. Unless expressly stated otherwise in the applicable Service Acceptance, payment instructions, invoice, payment request, or direct billing instruction, the client is not required to recalculate the fixed total fee based on daily exchange-rate movements after the accepted billing currency and fixed total fee have been accepted.
The client remains responsible for charges imposed by the client's own bank, card issuer, payment processor, remittance provider, or intermediary institution before payment is sent or processed.
If withholding is legally required, the client must notify AXD Strategy and provide the applicable official withholding certificate or equivalent evidence. Each party remains responsible for its own tax obligations. Applicable taxes and any agreed country-specific tax treatment will be stated in the SA or relevant Attachment.
Ad spend is paid separately by the client directly to the platform. Paid tools (AI subscriptions, CRM, hosting, etc.) are separate expenses unless explicitly included in writing.
Use payments@axdstrategy.com only for payment confirmations, receipts, invoice questions, and billing concerns.
Refunds, Recurring Services & Cancellation
Refund, rescheduling, withdrawal, cancellation, and access conditions depend on the type of offering and are stated before purchase in the applicable registration terms, Service Acceptance, or Service & Product Attachment. Nothing in these Terms removes a refund, cancellation, or other remedy required by applicable law.
Each recurring engagement must state its billing frequency, start date, initial or minimum term, renewal method, cancellation method and notice period, and the effect of cancellation on access, hosting, licenses, data, and unfinished work. Automatic renewal or charging applies only when expressly disclosed and accepted.
Future recurring price changes in the accepted billing currency must follow the applicable notice and acceptance process. A fee will not change during a prepaid period unless a lawful, expressly accepted adjustment applies.
On cancellation or termination, the client pays for conforming work completed and approved non-cancellable third-party commitments reasonably incurred. AXD Strategy will reconcile earned, due, and refundable amounts. Payments do not automatically become non-refundable merely because an engagement ends.
The applicable cancellation period and conditions are stated in the accepted registration terms, Service Acceptance, or Service & Product Attachment for that offering. For active client support or service follow-up, email support@axdstrategy.com.
No Guaranteed Results
AXD Strategy will perform accepted services with reasonable professional skill and care. Unless an Attachment expressly states a measurable commitment, AXD Strategy does not guarantee specific sales, revenue, profit, inquiries, leads, reach, engagement, follower growth, search rankings, advertising approval, regulatory approval, or other outcomes affected by the client, market, audience, budget, competition, or third-party systems.
Websites, Platforms & AI-Assisted Work
Some services use AI tools. AI-assisted outputs are not final business decisions. Clients are responsible for reviewing and approving all outputs before publishing or sending. Clients remain responsible for customer-facing messaging and legal claims.
The Attachment identifies who owns and pays for hosting, domains, software, repositories, integrations, advertising accounts, subscriptions, and other third-party services, together with access and handover arrangements. Third-party providers control their own terms, prices, availability, policies, and decisions.
AXD Strategy may use appropriate AI-assisted and automation tools subject to confidentiality, data-protection obligations, accepted restrictions, and reasonable professional review. AI assistance does not guarantee uniqueness, exclusivity, accuracy, or legal registrability.
Ownership & Licenses
The client retains its accounts, domains, data, trademarks, and pre-existing materials and grants AXD Strategy the limited permission needed to perform the engagement.
Unless the Attachment states otherwise, after full payment the client owns the transferable economic rights AXD Strategy holds in final approved deliverables created specifically for that client. Drafts, rejected concepts, working files, editable files, production files, and source code are included only when expressly listed.
AXD Strategy retains its reusable methods, frameworks, templates, systems, tools, prompts, components, and know-how. When embedded in a fully paid custom deliverable, the client may use them as part of that deliverable but may not extract, resell, publish, or redistribute them as standalone AXD products unless expressly permitted.
Licensed products, subscriptions, courses, templates, software, and installed systems remain subject to the users, uses, duration, renewal, transfer, and continuing-use conditions in their Attachment. Third-party materials remain subject to their respective licenses.
15. Assets & Permissions
Clients confirm rights to shared materials. Clients are responsible for checking claim legality before publishing.
16. Confidentiality
Each party will protect the other party's confidential information, use it only for the engagement, and disclose it only to people or providers who reasonably need it and are subject to appropriate confidentiality duties. This does not apply to information that is lawfully public, already lawfully known without restriction, independently developed, lawfully obtained from another source, or disclosed with permission or as required by law.
17. Platforms & Third-Party
Third-party platforms, software, hosting providers, payment providers, AI tools, and other external services control their own terms, prices, availability, policies, and decisions. Outages, restrictions, rejected advertising, algorithm changes, or discontinued features may affect delivery. AXD Strategy will communicate material effects and discuss reasonable alternatives but cannot guarantee a third party's service or decision.
18. Limitation of Liability
Each party is responsible for loss caused by its own breach, negligence, willful misconduct, or unlawful conduct to the extent established by applicable law. To the maximum extent permitted by law, neither party is liable for indirect or consequential loss or for lost profit, revenue, opportunity, goodwill, or data.
Except for liability that cannot lawfully be limited, total liability for an affected one-time engagement will not exceed the fees paid or payable for that engagement. For an affected recurring engagement, total liability will not exceed the fees paid or payable for that engagement during the preceding twelve months, or since commencement if shorter.
These limits do not apply to fraud, willful misconduct, gross negligence, unauthorized use of the other party's intellectual property, breach of confidentiality or data-protection obligations, undisputed payment obligations, or liability that applicable law does not permit the parties to exclude or limit.
19. Service Refusal / Pause
AXD Strategy may refuse unlawful, deceptive, abusive, unsafe, or unethical instructions. AXD Strategy may proportionately pause affected work after written notice if an undisputed payment remains overdue or the Client fails to provide a required dependency.
Immediate suspension may be used where reasonably necessary to address unlawful activity, abusive conduct, misuse, or a material security risk. Where practicable and lawful, AXD Strategy will provide prompt notice and a reasonable opportunity to resolve the issue.
Suspension does not transfer ownership of Client accounts, domains, or data to AXD Strategy. Properly earned fees and approved non-cancellable commitments remain payable.
20. Updates to Terms
AXD Strategy may update these Terms for future website use and future transactions. For a Client engagement confirmed through a Service Acceptance, the applicable Terms are the Terms published on the AXD Strategy website when the Client digitally signs that Service Acceptance.
A later website update does not automatically change an existing engagement. Changes to an existing engagement require written acceptance by both parties unless applicable law requires otherwise. Where applicable law requires notice of a material change, AXD Strategy will provide the required notice.
Agreement Documents & Priority
A client engagement may include: (1) a Service Acceptance stating the selected offering, package, authoritative billing currency, fixed total fee, payment due date, and accepted document references; (2) one or more Service & Product Attachments stating the detailed scope, deliverables, exclusions, responsibilities, schedule, revisions, support, licensing, and other offering-specific conditions; and (3) the Terms of Service published on the AXD Strategy website on the date and time the Client digitally signs the Service Acceptance.
The Client's recorded digital signing date and time identify the applicable Terms. AXD Strategy will preserve a copy of those Terms with the completed engagement record.
The Client must receive the incorporated documents before accepting them. Unselected packages, price guides, website descriptions, marketing materials, estimates, and informal discussions do not expand the accepted scope.
Mandatory law applies first. A mutually accepted amendment or specialist addendum controls the matter it specifically addresses. The signed SA controls the selected offering, package, authoritative billing currency, fixed total fee, and payment due date. The applicable Attachment controls the detailed breakdown and offering-specific conditions. These Terms control the remaining general conditions.
An invoice, payment instruction, website update, or informal communication does not by itself amend an accepted engagement.
Formal Notices
Service Acceptance documents, amendments, cancellation or non-renewal notices, breach notices, disputes, and other formal engagement notices must be sent to hello@axdstrategy.com and to the client email identified in the applicable SA.
Payment-related messages must be sent to payments@axdstrategy.com. A message sent only to the payment address is not a formal cancellation, non-renewal, breach, or dispute notice unless AXD Strategy confirms otherwise in writing.
Governing Law & International Clients
These Terms and each accepted engagement are governed by the laws of the Republic of the Philippines. The parties will first attempt in good faith to resolve a dispute within thirty calendar days after written notice. Unresolved disputes will be submitted to the competent courts of Cabanatuan City, Philippines, to the extent permitted by applicable law.
This does not exclude a mandatory right, law, remedy, or forum that cannot lawfully be waived. A country-specific addendum may be required for a particular engagement, market, regulated activity, or data-processing arrangement.
International billing, remittance, transfer, deposit, payment-channel, tax, withholding, or settlement details may be stated in the applicable Service Acceptance, invoice, payment request, direct billing instruction, or country-specific addendum where needed.
